We are looking for a Senior Director level Senior Commercial Counsel who is passionate about enabling innovation, scale and growth through go-to-market revenue verticals. As a Senior Commercial Counsel at DigitalOcean, you will report directly to the General Counsel and serve as the lead legal partner for our Go-to-Market organization. You will play a critical role in shaping and executing legal strategy for complex and first-of-their-kind commercial arrangements that support AI, PaaS, SaaS, and IaaS offerings. You will be a trusted advisor to senior leadership, driving scalable legal processes while enabling innovation across DigitalOceans ecosystem of customers and partners. Serve as the lead commercial counsel for the Go-to-Market team, driving legal strategy and execution for complex and innovative commercial arrangements supporting AI services, PaaS, SaaS, and IaaS. Act as a key liaison, strategy advisor, and contract lead for DigitalOcean partnerships, including direct resellers, ecosystem partners, managed service providers, affiliate marketing partners as well as direct customers. Oversee the development and continuous improvement of legal templates, playbooks, AI-enabled processes, and risk management frameworks to support scalable and efficient commercial operations. Partner with Finance, Sales, and Operations to support contract lifecycle management (Quote-to-Cash), driving process automation and legal tooling improvements across the business. Advise on and ensure compliance with applicable laws and regulatory frameworks. Support M&A initiatives as needed, including contract diligence, integration, and post-close support. Lead or participate in special projects and high-priority initiatives as assigned by the General Counsel. Manage a small team of legal operations professionals. Timeliness and quality of legal guidance on key commercial transactions Stakeholder satisfaction across GTM, Finance, Product and Operations teams Successful enablement of strategic partnerships and reseller ecosystems Quality and impact of contributions to M&A initiatives Juris Doctor (JD) from an accredited law school and active bar membership in at least one U.10+ years of legal experience, with significant in-house experience supporting commercial transactions in the technology sector. ~ Proven expertise in structuring, negotiating, and executing complex commercial and partnership agreements. ~ Strong knowledge of cloud services, SaaS, PaaS, IaaS, and emerging AI offerings. ~ Experience designing and scaling legal operations frameworks, including templates, playbooks, and contract lifecycle management systems. ~ Demonstrated ability to partner cross-functionally with GTM, Finance, Operations, and Product teams. ~ Excellent business judgment, communication, and negotiation skills, with the ability to translate legal risk into practical business solutions. ~ Familiarity with AI-related regulatory trends and their impact on commercial contracts. The salary range for this position is based on market data, relevant years of experience, and skills.
