We are looking for a credit lawyer to provide legal support to the Asset Wealth Management (Private) business of Goldman Sachs based in Singapore or Hong Kong (AWM Private).


OVERVIEW

The AWM Private business is part of the global AWM Private Division that invests primarily third-party capital across the equity, credit and real estate sectors.


Members of the AWM Private Legal team are involved in virtually every aspect of the AWM Private business ranging from structuring deals, transaction diligence, negotiation of deal documents, portfolio management issues and fundraising initiatives.


AWM Private Legal provides legal, policy, reputational and commercial advice to protect the Firm and ensure high-quality, value-added execution of transactions.


ROLE AND RESPONSIBILITIES

  • AWM Private Legal acts as an internal legal advisor to the AWM Private Division on all matters, including matters outside the transaction execution context. The judgment and experience of AWM Private Legal members is highly valued, particularly in weighing legal, policy, reputational and commercial considerations.
  • AWM Private Legal members are frequently called upon to provide advice and to help resolve problems in complex situations involving extreme time pressure and client sensitivity
  • Members of AWM Private Legal work on a broad range of matters, including all types of equity, credit and real estate investments including structured credit transactions, equity investments (take private transactions, majority and minority stakes), real estate acquisitions (residential and office buildings, development sites, hotels, student accommodation), infrastructure (data centers, solar assets, renewable energy).
  • In each of these roles, members of AWM Private Legal work closely with professionals in the different areas of the AWM Private Division and with other AWM Private Legal members from different offices as well as with other groups on the control side of the Firm such as Compliance.
  • The responsibilities of an AWM Private Legal team member include advising on the structuring and execution of transactions, assessing legal and reputational risks, managing diligence processes, analysing diligence issues that are identified to develop remediations for them, reviewing and negotiating documents, coordinating with outside counsel and resolving issues that arise during the course of a transaction.
  • AWM Private Legal members play a critical role in responding to regulatory changes and advising on business practices, policy development and implementation, training, compliance/best practices initiatives and the development of standard procedures and documentation.
  • AWM Private Legal assists in developing new products and transactional structures by advising on applicable law, assessing legal and regulatory risks, raising and resolving relevant legal and policy issues, assisting in coordinating appropriate areas within Goldman Sachs and acting as liaison with outside counsel and regulatory bodies.

REQUIREMENTS

  • Qualified credit lawyer with 5 to 10 years PQE.
  • Candidates will need to demonstrate a strong grounding in structured credit transactions across Asia, in particular experience in debt investment transactions in India will be highly regarded.
  • Relevant post-qualification experience either with a top tier law firm or as in-house counsel.
